Terms of Service

1. Agreement

These Terms of Service govern your use of mircoagi.com and the MicroAGI AI agent platform (the "Service") operated by MicroAGI GmbH ("the Company," "we," "us," or "our"), a company registered under the laws of Germany at Torstrasse 177, 10115 Berlin, Germany. By accessing or using the Service you accept these Terms in full. If you do not accept them, do not use the Service.

If you are a consumer (a natural person acting entirely outside your trade, business, craft, or profession), nothing in these Terms limits or waives your statutory consumer rights under the law of your country of residence.

2. Use of the Service

The MicroAGI platform is designed for enterprise operations teams building and running AI agents for back-office workflow automation. By using the Service, you agree that:

  • You must be at least 18 years old, or have appropriate parental or guardian consent;
  • You will not use the Service for unlawful purposes, including processing data without a valid legal basis, or in ways that violate the rights of any person;
  • You will not attempt to interfere with the operation or security of the Service, circumvent access controls, or gain unauthorised access to other customers' workspaces or data;
  • You may not copy, scrape, decompile, or reverse-engineer the Service except as expressly permitted by mandatory law;
  • You are responsible for configuring guardrails, approval gates, and access controls within your workspace. The Company provides the inspection and audit infrastructure; you are responsible for how your agents are configured to act.

3. Intellectual Property

The Service, including the MicroAGI platform, all software, visual design, documentation, and content published at mircoagi.com, is owned by the Company or its licensors and is protected by German, EU, and international intellectual-property law. You receive a limited, non-exclusive, non-transferable, revocable licence to use the Service solely for its intended purpose during the term of your subscription.

4. Customer Data and Content

Enterprise customers retain ownership of all data they submit to or process through the MicroAGI platform, including workflow configurations, connected-tool credentials, and operational data processed by agents. You represent that you hold the necessary rights and legal bases for any personal data your agents process. You grant the Company a limited licence to store, process, and transmit your data solely to provide and operate the Service on your behalf.

The Company will not use your operational or workflow data to train machine-learning models without your explicit written consent. A Data Processing Agreement (DPA) covering these obligations is available for Enterprise plan customers.

5. Right of Withdrawal (Consumer Contracts)

Where you enter into a paid contract with the Company as a consumer at a distance, you have the right to withdraw within 14 calendar days under the EU Consumer Rights Directive without giving any reason. To exercise the right, contact us at [email protected] with a clear statement of withdrawal before the 14-day period expires. We will refund all payments received within 14 days of receiving your withdrawal. Access to the Service for business customers (those acting within their trade or profession) is not subject to the consumer right of withdrawal.

6. Disclaimers and Statutory Guarantees

The Service is provided on an "as is" and "as available" basis. While the Company takes reasonable steps to ensure availability and accuracy, AI agent outputs are not guaranteed to be error-free and should be reviewed using the platform's inspection tools before any irreversible action is taken. Nothing in these Terms excludes or limits the Company's liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded or limited under mandatory law. Statutory guarantees that apply to consumers under EU law are not affected by these Terms.

7. Limitation of Liability

To the extent permitted by applicable law, the Company's total aggregate liability arising from or related to the Service, whether in contract, tort (including negligence), or otherwise, will not exceed the greater of EUR 100 or the amount paid by you to the Company in the three months preceding the event giving rise to the claim. This limitation does not apply to liability that cannot be limited under mandatory law (see Section 6).

8. Termination

The Company may suspend or terminate your access to the Service for material breach of these Terms, where required by law, or where continued access would create a security or legal risk. You may terminate your subscription at any time from your account settings. Upon termination, your workspace and associated data will be retained for 30 days before deletion, unless you request earlier deletion or a longer retention period is required by law or contract. Sections 3, 6, 7, 9, and 10 survive termination.

9. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of Germany, without regard to its conflict-of-laws provisions.

The courts of Berlin, Germany have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or the Service, subject to the mandatory consumer-protection rules of your country of residence as set out in Articles 17 to 19 of Regulation (EU) 1215/2012 (Brussels I Recast). If you are a consumer, you may also bring proceedings before the courts of your habitual residence, and the Company may bring proceedings against you only in those courts.

The European Commission provides an Online Dispute Resolution platform at ec.europa.eu/consumers/odr. The Company does not commit to using this platform but will cooperate where required by law.

10. Changes to These Terms

The Company may update these Terms from time to time. Material changes will be communicated by posting a new "Last updated" date and, for active customers, by email or in-platform notification with at least 30 days' notice before the change takes effect. Your continued use of the Service after that date constitutes acceptance of the updated Terms.
